Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Sno AI Corporation, a Delaware corporation ("Sno AI," "we," "us," or "our"). By accessing or using our website, applications, or services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Use of the Service

The Service is provided for your personal and non-commercial use, unless you have a separate agreement with us for commercial use. You may not use the Service for any purpose other than as expressly permitted by these Terms without our prior written consent.

You must be at least 13 years old to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. User Accounts

To access certain features of the Service, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. User Conduct

You agree not to use the Service to:

  • Violate any local, state, national, or international law or regulation;
  • Infringe the intellectual property rights or privacy rights of any third party;
  • Transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable;
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Use the Service to send spam or other unsolicited communications;
  • Engage in any conduct that restricts or inhibits any other user from using or enjoying the Service.

4. Your Content

You retain ownership of any content you submit, post, or display through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and providing the Service to you.

You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not violate any third-party rights or applicable laws.

5. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Sno AI Corporation and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

6. Third-Party Services and AI Processing

The Service may integrate with or utilize third-party services, including artificial intelligence and machine learning providers. Your use of such third-party services is subject to their respective terms and policies. We are not responsible for the practices or content of third-party services.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SNO AI CORPORATION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service;
  • Any conduct or content of any third party on the Service;
  • Any content obtained from the Service;
  • Unauthorized access, use, or alteration of your transmissions or content;
  • Errors, mistakes, or inaccuracies of content;
  • Personal injury or property damage resulting from your use of the Service.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

8. Indemnification

You agree to indemnify, defend, and hold harmless Sno AI Corporation and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) your User Content.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or using account deletion features within the Service. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

10. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

10.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes can be resolved this way.

10.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Sno AI Corporation agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") will be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as otherwise provided herein.

The arbitration will be conducted in English, and the arbitrator's decision will be final and binding. Judgment on the arbitration award may be entered in any court having jurisdiction.

10.3 Class Action Waiver

YOU AND SNO AI CORPORATION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

10.4 Small Claims Court Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

10.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that any lawsuit or court proceeding is permitted hereunder, you and Sno AI Corporation agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Delaware.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the "Effective Date" above. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

13. Miscellaneous

If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. These Terms constitute the entire agreement between you and Sno AI Corporation regarding the Service and supersede all prior agreements.
